1. Acceptance and customer agreements
By accessing or using the portal, you agree to these Terms of Use. You represent that you are authorized to act for the organization associated with your account. If MatrixWorks and your organization have a separate written services agreement, that agreement controls to the extent it expressly conflicts with these terms.
2. Authorized business use
The portal is a business service for invited users. You may use it only for your organization's lawful internal business purposes and only within the permissions assigned to your account. You must provide accurate account information, protect access to your Microsoft account and devices, and promptly report suspected unauthorized access.
3. Customer content and instructions
Your organization retains its rights in customer content. You grant MatrixWorks and its service providers permission to host, process, transmit, reproduce, and display customer content only as reasonably necessary to provide, secure, support, and improve the contracted service. You are responsible for the legality, accuracy, quality, and permissions associated with customer content and instructions.
4. Automation, AI, and approvals
Portal agents and workflows assist with research, classification, drafting, extraction, recommendations, routing, and other configured tasks. Outputs may be incomplete, outdated, or incorrect and must be reviewed by qualified people before use. Unless a separately reviewed policy expressly permits otherwise, external communications, payments, purchases, filings, account changes, and other higher-impact actions require human approval.
The portal does not provide legal, tax, accounting, investment, medical, engineering, safety, or other regulated professional advice. You remain responsible for decisions and actions taken from portal outputs.
5. Opportunity Scout and public records
Opportunity Scout organizes early property-research signals from public, licensed, or customer-authorized sources. A fire incident, foreclosure filing, obituary, probate record, property estimate, map image, or other signal does not establish present condition, title, ownership, occupancy, contact permission, willingness to sell, asking price, or suitability for purchase. Users must independently verify material facts and comply with applicable real-estate, privacy, consumer-protection, fair-housing, communications, and public-record laws.
6. Google Maps features
The portal includes Google Maps features and content, including optional Street View imagery. Your use of Google Maps features and content is subject to the then-current Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy. You may not scrape, bulk download, copy, cache, obscure attribution from, or misuse Google Maps content.
7. Third-party services and sources
Some features depend on third-party identity, hosting, mapping, communications, AI, document-processing, licensed-data, or public-data services. Those services may have separate terms, availability, and data practices. MatrixWorks does not control third-party content and does not guarantee that an external source will remain available, complete, current, or error-free.
8. Acceptable use
You may not use the portal to violate law or another person's rights; bypass access controls; access another organization's data; introduce malicious code; probe or disrupt the service; extract secrets or system instructions; scrape or resell the service or third-party content; send unlawful or unsolicited communications; make discriminatory housing or employment decisions; or use results for harassment, fraud, surveillance, or physical harm.
9. MatrixWorks materials
MatrixWorks and its licensors retain all rights in the portal, software, workflow designs, documentation, interfaces, branding, and other materials that are not customer content. Subject to these terms and any customer agreement, MatrixWorks grants authorized users a limited, revocable, non-transferable right to use the portal during the applicable service period.
10. Suspension and termination
MatrixWorks may limit or suspend access when reasonably necessary to protect customers, users, third parties, or the service; investigate suspected misuse; comply with law; address nonpayment; or respond to a material breach. Upon termination, your right to use the portal ends. Provisions that by their nature should survive will continue, including ownership, disclaimers, limitations, and dispute terms.
11. Service changes and availability
We may modify or discontinue features and may perform maintenance. We aim to provide a reliable service but do not promise uninterrupted or error-free availability unless a separate written agreement provides a specific service level.
12. Disclaimers
To the maximum extent permitted by law, the portal, outputs, third-party content, and services are provided “as is” and “as available.” MatrixWorks disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. These disclaimers do not exclude warranties that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by law, MatrixWorks will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunity arising from the portal. MatrixWorks' aggregate liability arising from the portal will not exceed the amount your organization paid MatrixWorks for the affected service during the three months before the event giving rise to the claim. These limits do not apply where prohibited by law or where a separate written agreement expressly provides otherwise.
14. Governing law
These terms are governed by the laws of the State of Kansas, without regard to conflict-of-law rules. Any dispute not governed by a separate written agreement will be brought in the state or federal courts located in Kansas, and the parties consent to their jurisdiction.
